Breach of Contract

Stated simply, a breach of contract occurs if and when a promisor has a strict duty to perform and fails to do so.  But what happens if there is some difference of opinion about the terms of the contract. What happens if the contract is ambiguous. Ambiguity exists when the words in a contract are subject two or more reasonable interpretations.  If the parties cannot resolve the ambiguity through discussion, negotiation and contract amendment, a court can determine the intention of the contract.  The basic rule associated with a court's interpretation of ambiguous terms is that the ambiguity will be construed against the drafter of the contract.
